By registering as a Land Owner User, you are entering into a legally binding agreement with QUDEX. You acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree with these terms, please do not access or use our platform and services.

Please ensure you understand our processes, data handling and financial transactions related to the land before accepting these terms.

1b. Registration and Account Security for Land Owners:

As a Land Owner on QUDEX, you are required to create an account and provide certain information about your property and yourself. In creating and maintaining your account, you agree to:

Provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Maintain the security and confidentiality of your account login information and restrict access to your computer and other devices.
Promptly notify QUDEX if you discover or suspect any security breaches related to your account.
Take responsibility for all activities that occur under your account and accept all risks of unauthorized access.

QUDEX reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete. Furthermore, QUDEX reserves the right to verify the authenticity of your property and ownership records.

1c. Service Provision for Land Owners:

As a Land Owner using QUDEX, you understand that:

By providing information about your land assets, you grant QUDEX the right to use that data to assess environmental value and market potential. This data may be shared with businesses looking to offset their environmental impact, always under the strictest confidentiality and security protocols.
QUDEX does not guarantee a specific level of income or success from the use of our platform. The actual revenue generated from your land assets may vary based on market conditions, the quality of your land, and other factors outside our control.
QUDEX reserves the right to modify or discontinue, temporarily or permanently, any features or services at its sole discretion. You agree that QUDEX will not be liable to you or any third party for any such modification, suspension or discontinuance.

By using QUDEX services, you agree to these terms and any additional terms that may apply. Violation of any of these terms will result in the termination of your right to use the QUDEX services.

1d. Data Ownership and Usage for Land Owners:

As a Land Owner using QUDEX, you acknowledge that:

You retain all ownership rights to your data and information that you submit or disclose through the QUDEX platform, referred to as “User Data.”
By using the QUDEX platform, you grant QUDEX a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, create derivative works of, display, and perform the information (including the content) that you post on or through QUDEX. This is done solely for the purpose of operating, promoting, and improving our services, and to develop new ones.
QUDEX will not sell your User Data to third parties or use your data for advertising purposes without your consent. We may share your data with third parties when necessary to provide you with our services, in accordance with our Privacy Policy.
You are responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all User Data.
You understand that QUDEX uses industry-standard techniques to protect against unauthorized access to User Data, but we cannot guarantee absolute security.
QUDEX is not responsible for any deletion, correction, destruction, damage, loss, or failure to store any of your User Data.

By using QUDEX services, you agree to these terms and any additional terms that may apply. Violation of any of these terms may result in the termination of your right to use the QUDEX services.

1e. Financial Transactions for Land Owners:

As a Land Owner using QUDEX, you acknowledge that:

Any financial transactions that take place on the QUDEX platform, including selling of QUDE™ tokens, are governed by the terms of this Agreement and any applicable laws and regulations. You are responsible for ensuring that all financial transactions in which you engage on the QUDEX platform comply with these requirements.
All pricing and financial terms are set by QUDEX, and QUDEX reserves the right to change them at any time. You will be notified of any changes in advance, and continued use of the QUDEX platform after such changes are made will constitute your acceptance of them.
Payments made by buyers on the QUDEX platform are held by QUDEX and disbursed to Land Owners in accordance with the terms of the transaction.
You are responsible for paying any taxes that apply to transactions you make or receive through the QUDEX platform, and you agree to indemnify and hold QUDEX harmless from any liability for, or assessment of, any claims or penalties with respect to such taxes, including any liability for, or assessment of, withholding taxes imposed on QUDEX by the relevant taxing authorities with respect to any payments made to you.

By using QUDEX services, you agree to these terms and any additional terms that may apply. Violation of any of these terms may result in the termination of your right to use the QUDEX services.

1f. Termination for Land Owners:

As a Land Owner using QUDEX, you acknowledge and agree that:

QUDEX reserves the right, at its sole discretion, to terminate or suspend your access to the QUDEX platform and services, without prior notice, for any reason, including but not limited to violations of this Agreement, failure to pay fees when due, or if we believe that your actions may cause financial loss or legal liability for you, QUDEX, or other users.
Upon termination or suspension, your right to use the QUDEX services will immediately cease, and QUDEX may, without liability to you or any third party, immediately deactivate or delete your user name, password, and account, and all associated materials, without any obligation to provide any further access to such materials.
If you wish to terminate your QUDEX account, you may do so by following the instructions on the QUDEX platform. If you terminate your account, you will remain obligated to pay all outstanding fees, if any, relating to your use of the QUDEX services incurred prior to termination.

By using QUDEX services, you agree to these terms and any additional terms that may apply. Violation of any of these terms may result in the termination of your right to use the QUDEX services.

1g. Disputes for Land Owners:

As a Land Owner using QUDEX, you acknowledge and agree that:

You are solely responsible for your interactions with other QUDEX users. QUDEX reserves the right, but has no obligation, to become involved in any way with disputes between you and other users.
Any dispute or claim relating in any way to your use of any QUDEX service, or to any products or services sold or distributed by QUDEX or through QUDEX, will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
You agree that any legal suit, action, or proceeding arising out of, or related to, these terms or the QUDEX services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California in each case located in the City of San Francisco and County of San Francisco. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

By signing up as a business user (“User”), you are choosing to engage in the transformation of environmental data into actionable insights, playing a pivotal role in revolutionizing land conservation and enhancing the value proposition of degraded lands.

The following Terms and Conditions govern your access to and use of QUDEX, including any content, functionality, and services offered on or through QUDEX (the “Service”). Please read these Terms carefully before you start to use the Service. By using the Service or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to abide by these Terms and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Service.

2b. Registration and Account Security for Business Users:

As a business user of QUDEX, you agree to (1) provide accurate, current, and complete information about your business during the registration process; (2) maintain and promptly update such information to keep it accurate, current, and complete; (3) protect the security of your account by not sharing your password with others and restricting access to your account and your computer or mobile device; (4) promptly notify QUDEX if you discover or suspect that someone has accessed your account without your permission, and (5) take responsibility for all activities that occur under your account and accept all risks of unauthorized access.

QUDEX reserves the right to suspend or terminate your account and your access to the Service if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

2c. Service Provision for Business Users:

As a business user, you will have access to QUDEX’s Land Management and Business ESG platform, which provides quantitative environmental data evaluation services. These services are designed to help businesses integrate sustainable practices into their operations. The extent of services available to you may depend on the subscription package you choose.

QUDEX agrees to use reasonable efforts to ensure the availability of the Service at all times. However, there will be occasions when the Service will be interrupted for maintenance, upgrades, or emergency repairs or due to failure of telecommunications links and equipment that are beyond the control of QUDEX.

By using the Service, you agree that QUDEX is not liable for any loss you may suffer through the use of the Service, even if advised of the possibility of such damages. QUDEX does not guarantee the accuracy, timeliness, reliability or completeness of any of the information contained on, downloaded or accessed from the Service.

2d. Corporate Responsibilities for Business Users:

As a Business User of QUDEX, you are responsible for understanding and complying with all applicable laws, rules, and regulations, and any and all obligations, restrictions and conditions that may apply to your business operations in relation to environmental sustainability, carbon emissions, and offsetting strategies.

You are also responsible for ensuring that all data provided to QUDEX for the purposes of utilizing our services are accurate, up-to-date, and complete. This includes, but is not limited to, data related to your company’s carbon emissions, use of natural resources, and any other relevant environmental data.

Furthermore, you agree to respect the integrity of QUDEX’s platform and refrain from any attempts to reverse engineer, hack, disrupt, or compromise its operations in any way. Breaching this term may lead to the immediate termination of your account, in addition to any legal actions that QUDEX may choose to take.

You are accountable for the security of your account credentials and must promptly notify QUDEX of any unauthorized usage of your account. QUDEX will not be held responsible for losses or damages resulting from unauthorized account access and usage.

2e. Billing and Payment Terms for Business Users:

As a Business User, you agree to pay all fees associated with your use of QUDEX’s services. This may include, but is not limited to, fees for platform usage, access to data, and purchases of QUDE™ tokens.

Payment terms, including payment methods, invoice schedules, and due dates, will be outlined in a separate agreement or in the payment section of the QUDEX platform. All payments must be made on time and in full, according to the agreed terms.

Failure to make timely payments may result in the suspension or termination of your QUDEX account and services. Additionally, QUDEX reserves the right to change its pricing and payment policies at any time. Any changes will be communicated to you in advance.

In the event of disputes over billing, you agree to cooperate with QUDEX in resolving such issues promptly. If you believe you have been charged incorrectly, you must contact QUDEX within 30 days of the invoice date to be eligible for an adjustment or credit.

2f. Service Level Agreement for Business Users:

As a Business User of QUDEX, you are entitled to a certain standard of service and support. The specifics of this Service Level Agreement (SLA) are as follows:

Uptime Guarantee: QUDEX aims to maintain a platform uptime of 99.9%. Scheduled maintenance or unforeseen circumstances may affect this, and will be communicated to you promptly.
Support Availability: Our support team is available 24/7 via email, and our regular business hours are from 9:00 am to 5:00 pm, Monday to Friday. We strive to respond to all inquiries within 24 hours.
Updates and Maintenance: QUDEX will regularly update and maintain the platform to ensure optimal performance. These updates will often be carried out during off-peak hours to minimize disruption.
Data Protection: QUDEX uses robust security measures to protect your data. We conduct regular audits to ensure the security of our platform.
Disaster Recovery: QUDEX maintains a comprehensive disaster recovery plan. In the event of a platform failure, we aim to recover all services within 24 hours.
Resolution of Service Issues: If you experience any issues with the service, please contact our support team immediately. We aim to resolve all issues within a reasonable time frame, depending on the severity and complexity of the problem.

Please note that this SLA may be updated periodically, and we recommend that you review it regularly. Non-compliance with the terms of the SLA on your part may result in suspension or termination of your account.

2g. Data Privacy and Usage for Business Users:

As a Business User of QUDEX, you agree to abide by our data privacy and usage policies. Here are the key aspects:

Data Collection and Usage: QUDEX collects and uses your data to provide and improve our services. This includes data about your company’s environmental footprint, transaction history, usage statistics, and any data you provide directly.
Data Sharing: QUDEX may share anonymized or aggregate data with third parties for research or promotional purposes. However, no personally identifiable or sensitive company data will be shared without your express consent.
Data Security: QUDEX implements stringent security measures to protect your data. These include encryption, secure data storage and access controls.
Data Rights: You retain ownership of all data you provide to QUDEX and can request access, rectification, or deletion of your data as per applicable laws.
Cookies and Tracking Technologies: QUDEX uses cookies and other tracking technologies to collect information about your usage of our platform, which helps us improve our services.

Except as explicitly stated in these Terms and Conditions, QUDEX and our licensors reserve all rights in and to our services.

As a Business User, you agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the QUDEX platform or services.

While we encourage businesses to promote their association with QUDEX, any unauthorized use, reproduction, modification, distribution, or storage of any part of our services or platform is strictly prohibited without prior written permission from us.

Your use of QUDEX’s services does not grant you any ownership rights in our services or the intellectual property rights owned by QUDEX and our licensors. However, QUDEX grants you a limited, non-exclusive, non-transferable, revocable license to access and use our platform and services for your own operational purposes. This license is subject to your compliance with these Terms and Conditions.

2j. Disputes for Business Users:

Disputes that arise between a Business User and QUDEX will be resolved through good faith negotiations in the first instance. If a mutually satisfactory resolution cannot be reached, the dispute will be escalated to mediation with a neutral third party.

In the event that mediation does not resolve the dispute, either party has the right to submit the matter to binding arbitration. The arbitration will be conducted in accordance with the rules of a recognized arbitration body as agreed by both parties.

Each party will bear its own costs in relation to any dispute resolution process, except where the mediator or arbitrator directs otherwise.

By agreeing to these terms, Business Users waive their right to a trial by jury or to participate in a class action lawsuit. All claims must be brought in the party’s individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Business Users also agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of QUDEX’s platform or these Terms and Conditions must be filed within one (1) year after such claim of action arose, or be forever banned.

2qxp. QXP Terms and Conditions for Business Users:

Business Users who choose to use the QXP feature of the QUDEX platform are subject to the following additional terms and conditions:

a. Usage: Business Users are granted a limited, non-exclusive, non-transferable, revocable license to use QXP for their internal business purposes only. QXP data tokens are not for resale or distribution.

b. Account Security: Users are responsible for maintaining the confidentiality of their QXP account information, including their password, and are responsible for all activities that occur under their account.

c. Data Privacy: QUDEX respects the privacy of its users and is committed to protecting it. All data collected, used, and shared through the use of QXP will be handled in accordance with QUDEX’s Privacy Policy.

d. Intellectual Property: All right, title, and interest in and to QXP (including all intellectual property rights) remain with QUDEX. Users acknowledge that they do not acquire any ownership rights by using QXP.

e. Availability: QUDEX makes no guarantees as to the continuous availability of QXP or any specific feature(s) of QXP. QUDEX may change, suspend, or discontinue any or all aspects of QXP at its discretion.

f. Liability: QUDEX, its officers, directors, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages resulting from the use or inability to use QXP.

g. Disputes: Any dispute regarding QXP will be handled as outlined in section 2j of these Terms and Conditions.

h. Termination: QUDEX may terminate or suspend any user’s right to use QXP at any time, for any reason, in QUDEX’s sole discretion. Upon termination, all rights granted to the Business User in relation to QXP will immediately cease.

By using QXP, Business Users agree to be bound by these terms and conditions.
